What affects pricing and turnaround

FactorEffect
Document lengthLonger documents generally carry higher estimates and longer turnaround
Contract typeMSAs and DPAs typically require more work than standard NDAs
ComplexityNon-standard terms, unusual jurisdictions, or heavy flowdowns add scope
Round numberFollow-up rounds on the same deal may be faster due to reviewer familiarity

Mutual vs one-way NDAs

NDAs cover both mutual and one-way arrangements. Your reviewer applies the appropriate playbook based on classification and your onboarding questionnaire.

Customer paper vs vendor paper

Arceus reviews both your templates sent to customers and third-party paper sent to you. In your submission, say whether you are buying or selling and whose paper it is. Example: "Customer sent their MSA" or "Order form from a vendor we're buying."

Out of scope

The following are generally outside Arceus commercial review:

  • Litigation and dispute matters
  • Regulatory filings and government submissions
  • Entity formation and corporate governance
  • Patent prosecution and IP portfolio management
  • Personal legal matters

If you are unsure, submit the document. Your reviewer will confirm scope during the estimate step.
